Annual General Meeting (AGM)
July 14, 2026, 4:00 PM MDT
The Canadian Association for Photographic Art (CAPA)’s AGM will be held on July 14th, 2026 at 4:00 PM Mountain Daylight Time (3:00 PM PDT, 6:00 PM EDT, 7:00 PM ADT, 7:30 PM NT) at the Canadian Photography Conference (SAIT) in Calgary, Alberta.
All current CAPA Individual and Family Members are welcome to attend and can register by sending their name by email to the Secretary of CAPA or can register in person before the AGM meeting in Calgary Alberta.
CAPA Clubs and other member organizations: All current CAPA clubs and member organizations can designate one representative to vote on behalf of the club/organization. The club/organization representative must register by sending their name to the Secretary of CAPA Secretary of CAPA no later than 24 hours before the start of the AGM.
Those members not able to attend in person or via a live broadcast may complete a Proxy form giving their voting rights to the CAPA Secretary secretary@capacanada.ca who will record their vote accordingly at the AGM Meeting. Proxy-Form-EN-.pdf – Proxy-Form-FR-.pdf
Please note that if you will be attending via a live broadcast, you must register with the Secretary of CAPA no later than July 7, 2026. Instructions will be sent in the week before the AGM.

For CAPA to be compliant with the Canada Not-For-Profit Corporations Act S.C.2009 and the Income Tax Act, it is necessary to amend the current Articles of Amendment. The CAPA Board approved the Amended Articles at the Board Meeting held on June 8, 2026. Before the amended Articles can be sent to the Government of Canada for formal approval it is necessary for the amendments to be passed by Special Resolution by the CAPA Members present (in person, on Zoom or by Proxy) at the AGM on July 14, 2026.

- BE IT RESOLVED AS A SPECIAL RESOLUTION THAT:
- The CAPA Articles of Amendment approved by the Board on June 8, 2026 and presented to the members in the Notice of AGM are hereby approved and adopted in substitution for the current Articles of Continuance, as amended;
- Any Director and Officer of CAPA is hereby authorized and directed to do all things and execute all documents necessary to give effect to this resolution, including the filing of the Articles of Amendment with Corporations Canada

In addition, the Board approved the updated By-laws and recommends that the members of CAPA at the AGM on July 14, 2026, confirm by Special Resolution the Amended By-law No. 1. Following is the Special Resolution to be presented at the AGM.
Special Resolution for confirmation of Amended By-law No. 1
- BE IT RESOLVED AS A SPECIAL RESOLUTION THAT:
- The amended CAPA By-laws approved by the Board on June 8, 2026 and presented to the members in the Notice of AGM are hereby confirmed by repealing the existing By-law No. 1 and replacing it with the Amended By-law No. 1.
- Any Director and Officer of CAPA is hereby authorized and directed to do all things and execute all documents necessary to give effect to this resolution, including the filing of the amended by-laws with Corporations Canada
